Kaman Acquires Fluid Power Distributor B.W. Rogers

Kaman will acquire distributor B.W. Rogers and increase their grip on fluid power and automation.

Kaman Distribution will acquire B.W. Rogers Co. and affiliated entities early in the second quarter of this year. A definitive agreement has been signed that will expand Kaman’s reach in fluid power and automation. B.W. Rogers is a distributor of Parker Hannifin products markets a wide array of hydraulic and pneumatic components. B.W. Rogers’s network incorporates twenty Parker locations containing twelve ParkerStores. Among other manufacturers, B.W. Rogers also markets Advantech, Phoenix Contact, and Wooster Hydrostatics in industries including steel, life sciences, food and beverage, power generation, shale gas, and automotive.

The agreement excludes operating assets and associated liabilities identified with the sale of certain products, tools, equipment, supplies, accessories, and components to the automotive industry. These specific items will still be owned and operated by B.W. Rogers. The fluid power distributor has sales of approximately $113 million — $12.5 million being attributed to the excluded assets.

The acquisition will be Kaman’s largest to date in its distribution segment. The company is striving to develop a strong fluid power product platform and continue to grow an automation, control, and energy product platform from their previous acquisition of Minarik and Zeller. Kaman will also gain thirty ParkerStores across the U.S. and Puerto Rico—one of the largest networks. Its lack of geographic and customer overlap will allow them to expand their portfolio of product and services.  The purchase will close early in the second quarter in compliance with the Hart-Scott-Rodino Antitrust Improvements Act.
